02Your plan

Invest in Egypt in six steps, from structure to yearly filings

Each step depends on the one before. Authorities and typical waits as of October 2026.

  1. 01

    Structure and location check

We match your activity, nationality and town to a form: a one-person company (EGP 1,000, fully paid), an LLC (no statutory minimum capital), a JSC (at least 3 founders, EGP 250,000 issued capital), a branch or a representative office. In Sharm El Sheikh and Dahab, a non-Egyptian project must be a JSC.

Before you sign a lease or send money

  2. 02

    Security forms and incorporation

Every foreign founder and manager files a security-inquiry form, and advance clearance is reported for some nationalities. GAFI then enters the company in the Commercial Register: it states 1 working day for a one-person company or JSC filed in person, a route not offered for an LLC.

GAFI · practitioners report 1–2 weeks once documents are ready, plus clearance

  3. 03

    Capital and bank account

A one-person company needs a bank certificate for its full capital and a JSC for at least 10% of its issued capital; an LLC has needed none since Law 4/2018. The operating account follows, and each bank decides every application itself.

Egyptian bank · before and after registration

  4. 04

    Tax and payroll registration

A tax card from the Egyptian Tax Authority (standard activities get the 5-year card; the new 8-month temporary card cannot issue e-invoices), VAT at EGP 500,000 turnover, e-invoices and, for consumer sales in Sharm El Sheikh, e-receipts. Then social and health insurance for staff, and any sector licence.

ETA · Social Insurance · UHIA · sector authority

  5. 05

    Residency

Foreign partners and managers apply for investor residence through the company, renewable for the life of the project. Holders need no work permit, but Labour Law 14/2025 requires notice within 7 days of starting work.

eres.moi.gov.eg · in Sharm, the Police Complex (check the hours first)

  6. 06

    Yearly compliance

GAFI's FDI reports, VAT and payroll returns, the auditor, the general assembly and the corporate tax return, every year.

GAFI · ETA · for as long as a foreigner holds shares

Statutory clocks and practitioners' ranges, not promises. Papers from abroad, security clearance and Sinai approvals usually set the real pace.

FAQ

Questions foreign investors ask us

Can a foreigner own 100% of a company in Egypt?

Yes, for most activities. As of October 2026, foreigners can own all the shares of a one-person company, an LLC or a joint-stock company, and repatriate profits and capital. Commercial agency is restricted to Egyptians, importing for trade has its own registration, and Sinai, including Sharm El Sheikh, follows separate rules.

Do I need an Egyptian partner to invest in Sharm El Sheikh?

No minimum Egyptian percentage applies. Decree 128/2022 requires a non-Egyptian project in Sharm El Sheikh, Dahab and the Gulf of Aqaba tourism sector to be an Egyptian joint-stock company with at least 3 founders, and later share changes need security approvals. The 55% Egyptian rule applies in El Tor, Saint Catherine and elsewhere in Sinai.

How long does it take to set up a company in Egypt as a foreigner?

GAFI states 1 working day for a one-person company or joint-stock company filed in person, and practitioners report 1–2 weeks once the documents are ready, as of October 2026. Security clearance for some nationalities and, in Sinai, the security approvals add time that no authority publishes, so plan leases and hiring around them.

Can I take profits out of Egypt?

Yes. The repatriation of profits and capital is guaranteed for foreign investors. As of October 2026, the company pays 22.5% corporate income tax, and dividends are taxed at 10%, or 5% for listed companies. A tax treaty, such as those with Italy, the UK, Germany or Russia, may reduce this, usually by refund or advance ruling.

Does investing in Egypt give me residency?

Not automatically. Foreign partners and managers can apply for investor residence through the company. As of October 2026 it is renewable for the life of the project, and holders are exempt from the work-permit requirement. Egypt has no dedicated retirement visa and no permanent residence for newcomers, so the permit is renewed rather than granted once.
