Financial Statements and Statutory Audit in Egypt

Every joint-stock company, LLC and one-person company in Egypt must have an auditor, and the accounts go for approval within 3 months of year-end. Whichever audit firm in Egypt signs the report, someone has to produce the statements first. From Office 314 in Sharm El Sheikh, we close your books and prepare statements that are ready for your auditor to test.

02Process

How a year-end file comes together

  1. 01

    Agree the scope

Legal form, year-end, the current auditor, foreign shareholders and importer status. We read last year's audited accounts and the current trial balance.

    Before or soon after year-end

  2. 02

    Close and reconcile the year

Bank, receivables and payables, payroll with social and health insurance, and every e-invoice and e-receipt against the Tax Authority's records.

Depends on the state of the books

  3. 03

    Draft the statements

Statements and notes drafted, and every adjustment explained to you in Arabic, English, Italian or Russian before the auditor sees it.

    Once the year is closed

  4. 04

    Support the audit

We hand over the schedules and documents, deal with the auditor's queries, then book the adjustments you agree.

    On the auditor's timetable

  5. 05

    Approve and distribute

General assembly papers, the 5% legal reserve and any dividend, with the employees' share and the 10% dividend tax.

Within 3 months of year-end: by 31 March

  6. 06

    File and keep

The corporate return from the approved figures and, for a foreign-owned company, GAFI's annual FDI report. Working papers stay on file for inspection, which can normally reach back 5 years (6 in cases of evasion).

Return by 30 April; FDI report within 4 months

Our own timing depends on your records, your auditor and the authorities' systems, so we give no fixed turnaround. The legal deadlines shown are for a December year-end.

09FAQ

Audit and year-end questions we hear in Sharm

Which companies need an auditor in Egypt?

As of October 2026, Law 159/1981 requires an auditor for every joint-stock company, LLC and one-person company, whatever its size or turnover. The ordinary general assembly then approves the accounts within 3 months of year-end. A sole proprietorship is not a Law 159 company, but from tax period 2028 it must keep regular books like every business.

What do you prepare, and what does the external auditor of an Egyptian company do?

We close the books, draft the financial statements and notes, assemble the supporting schedules and prepare the general assembly papers and the tax return. The auditor your company appoints tests that file and issues the audit report and opinion. If you have no auditor yet, or are changing one, tell us early: the file we build is the same.

When is the general assembly held, and what does it decide?

Within 3 months of the financial year-end, so by 31 March for a December year-end. It approves the audited accounts and sets aside 5% of profits as a legal reserve until the reserve reaches 50% of capital. It also decides any distribution, of which employees receive at least 10%, capped at their annual wages.

Does the simplified tax regime remove the audit?

No. Law 6/2025 changes how tax is computed for turnover up to EGP 20 million: 0.4% to 1.5% of turnover, no dividend tax and no inspection for 5 years. It is a tax regime, not company law, so an LLC, one-person company or JSC using it still needs an auditor under Law 159/1981.

What extra reporting applies to a foreign-owned company?

Companies with any non-Egyptian owner file GAFI's FDI reports: within 30 days of incorporation or a change, quarterly within 45 days and annually within 4 months; late filing carries an EGP 50,000 penalty. Registered importers with less than 51% Egyptian ownership also owe quarterly audited statements within 45 days (Ministerial Decree 271/2026, in force 22 July 2026).
