LLC in Egypt: questions we are asked
Is there a minimum capital for an LLC in Egypt?
No. Law 159/1981 sets no statutory minimum capital for an LLC, and since Law 4/2018 no bank certificate is needed at incorporation. Claims of an EGP 50,000 minimum are wrong as of October 2026. The capital you choose still sets the GAFI and Bar Association fees and can matter in later applications, so we agree the figure with you.
Can a foreigner own or manage an LLC in Egypt?
Yes, for most activities. Foreigners can own 100% of most investment projects, and Law 159/1981 sets no nationality condition for LLC managers. GAFI asks for a security-inquiry form for each foreign partner and manager. Importing for trade, commercial agency and projects in Sinai follow special rules, so check your activity and location first.
Can I open an LLC with foreign partners in Sharm El Sheikh?
Not for a non-Egyptian project. Under Decree 128/2022 (in force 1 April 2022), a non-Egyptian investment project in Sharm El Sheikh, Dahab or the Gulf of Aqaba tourism sector must be an Egyptian JSC, and later share changes need security approvals. Whether a mixed partnership can keep the LLC form depends on your ownership and premises, which we check first.
How long does LLC registration take in Egypt?
Practitioners report one to two weeks once every document is ready. GAFI's 2026 guide offers one-day, in-person incorporation only for one-person companies and JSCs, so we never promise an LLC in a day. Documents legalised abroad, advance security clearance, reported for some nationalities, and Sinai approvals are what usually add time.
Does an LLC in Egypt need an auditor?
Yes. Law 159/1981 requires an auditor for every LLC, as for JSCs and one-person companies. The ordinary general assembly meets within three months of the year-end, a 5% legal reserve is set aside until it reaches 50% of capital, and employees receive at least 10% of distributed profits, capped at their annual wages.
