Questions about choosing a company form
LLC vs JSC in Egypt: which is better?
Neither is better in general. An LLC suits 2 to 50 partners running a business, with no statutory minimum capital and no incorporation bank certificate. A JSC needs at least 3 founders and EGP 250,000 of issued capital, and suits investor groups with a board. In Sharm El Sheikh and Dahab, non-Egyptian projects must use the JSC.
Can a foreigner open a one-person company in Egypt?
In most of Egypt, yes. Foreigners can own 100% of most projects, and a one-person company needs one owner and EGP 1,000 of capital, fully paid. Every foreign founder and manager files security-inquiry forms. Sinai differs: Sharm El Sheikh and Dahab require a joint-stock company for non-Egyptian projects, the rest of Sinai 55% Egyptian ownership.
Do I need an Egyptian partner to open a company in Sharm El Sheikh?
Not a fixed percentage. Decree 128/2022 sets no minimum Egyptian share in Sharm El Sheikh, Dahab and the Gulf of Aqaba tourism sector. A non-Egyptian project must, however, be an Egyptian joint-stock company with at least three founders, and later changes of shareholders need security approvals. The 55% rule belongs to the rest of Sinai, under Law 14/2012.
Why does the finder ask where the business will operate?
Because Sinai has its own rules. Since 1 April 2022, Decree 128/2022 has required non-Egyptian projects in Sharm El Sheikh, Dahab and the Gulf of Aqaba tourism sector to be Egyptian joint-stock companies. El Tor, Saint Catherine and Ras Sudr follow Law 14/2012, with at least 55% Egyptian ownership. Hurghada falls under neither regime.
Branch or representative office: which does a foreign company need?
It depends on whether you will earn money in Egypt. A representative office only researches and promotes: no trading, invoicing or paid services, and it must convert or close within three years. A branch carries out a specific contract with an Egyptian party and is taxed like an Egyptian company, at 22.5%. GAFI lists five working days to register it.
