Real Estate Developer in Egypt?
Brokers and Property Investors too
Setting up as a real estate developer in Egypt, or as the broker who sells its units, starts with the right company and ends with the tax on every sale. In Sharm El Sheikh and Dahab, Decree 128/2022 adds a layer: land stays Egyptian-only and every real-estate dealing needs prior security approval. We set your company up and keep it compliant, from Sharm El Sheikh.

Company at GAFI
An LLC has no statutory minimum capital; a JSC needs at least three founders and EGP 250,000 issued capital. In Sharm and Dahab, a non-Egyptian project must be an Egyptian JSC.
GAFI · 1 working day in person for a JSC or OPC; 1–2 weeks in practice once documents are ready

Land, usufruct and the Sinai approvals
In the Decree 128/2022 areas, state land comes by usufruct and every real-estate dealing needs prior security approval. In El Tor and Saint Catherine, a Sinai Development Agency licence comes first.
Defence, Interior and General Intelligence, or the Sinai Development Agency · no published timetable
- 04
Tax card and e-invoicing
Every ETA taxpayer issues e-invoices. The 8-month temporary tax card of the July 2026 package cannot issue them; standard activities get the normal 5-year card.

Building permits and project licences
Permits come from the authorities competent for the plot, or through the Golden Licence: one Cabinet approval covering set-up, operation, building permits and land. A hotel inside a compound follows Law 8/2022.
Competent authorities, or the Cabinet for a Golden Licence
In Sharm and Dahab, every later change of founders, shareholdings or articles goes back through the security approvals and GAFI or FRA. We plan the share structure for that from the start.

FAQ
Setting up a real estate company in Egypt: questions
Can a foreigner set up a real estate development company in Egypt?
Yes. Foreigners can own 100% of most investment projects in Egypt, and an LLC has no statutory minimum capital. Sinai is the main exception: in Sharm El Sheikh and Dahab a non-Egyptian project must be an Egyptian joint stock company, and in El Tor or Saint Catherine at least 55% must be Egyptian-owned. Rules as of October 2026.
What VAT applies to construction after Law 157/2025?
Since 18 July 2025, construction is taxed at the standard 14% VAT rate, with input-tax credit. Contracts signed before the law and still running may use a transitional base under MoF Decision 418/2025: 14% on 36% of the invoice value, without input-tax deduction. Which base applies to each of your contracts, we check one contract at a time.
Does a developer pay the 2.5% disposal tax on each unit sold?
Generally not. The 2.5% real-estate disposal tax applies to individuals disposing of built property or building land. Property sold by a company or a sole proprietorship is taxed as business income instead, so a developer's profit goes into its corporate return at 22.5%. How your sales contracts, especially usufruct grants, are treated is worth confirming before you sign.
How many properties can a foreigner own in Egypt?
Under Law 230/1996, a foreigner may own up to two residential properties of no more than 4,000 m² each, with no resale within 5 years unless the Minister of Justice grants an exception. In Hurghada, foreigners are treated like Egyptians for residential units, subject to approval. In Sinai, Sharm included, foreign land ownership is prohibited.
Do real estate brokers in Sharm El Sheikh charge VAT?
Once turnover reaches EGP 500,000, VAT registration is compulsory and the standard rate is 14%. Brokers in the Sharm El Sheikh area selling to individuals must also issue e-receipts, a rule in force since 1 November 2022. Companies paying commissions withhold 5% on payments above EGP 300. A smaller broker may suit the simplified regime of Law 6/2025.
